Please read these Terms of Service ("Terms") carefully before using vibeflowdigital.com (the "Site") or purchasing any services from VibeFlow Digital AI ("we," "us," or "our"). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase our services.

1. Services

VibeFlow Digital AI provides AI-powered video production services including but not limited to:

Short-form video ads (15-second and 30-second formats)
Branded films and commercial content
Social media video content
Monthly video production retainer services
Custom video production projects

All services are subject to availability and may be modified or discontinued at our discretion with reasonable notice.

2. Orders and Payment

By purchasing a service from VibeFlow Digital AI, you agree to the following:

All prices are listed in US dollars and are subject to change without notice. Prices in effect at the time of your order will be honored.
Payment is processed through Stripe, a third-party payment processor. By completing a purchase, you agree to Stripe's Terms of Service and Privacy Policy.
Full payment is required at the time of purchase for one-time project packages (SPARK, CURRENT, SURGE).
For the FLOW monthly retainer, payment is charged automatically on a recurring monthly basis until the subscription is cancelled.
You are responsible for providing accurate billing information. VibeFlow Digital AI is not responsible for failed payments due to incorrect information.
Rush delivery fees ($500) must be confirmed with us before purchase. Rush orders are subject to availability.

3. Refund and Cancellation Policy

Due to the custom and time-intensive nature of our work:

All sales are final. We do not offer refunds once production has begun.
If you wish to cancel before production begins, you must notify us within 24 hours of purchase. Cancellations within this window will receive a full refund minus any Stripe transaction fees.
For FLOW retainer subscriptions, you may cancel at any time before your next billing date. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.
If we are unable to deliver your project due to circumstances on our end, you will receive a full refund.
Revision requests included in your package do not constitute grounds for a refund if delivered as described.

4. Client Responsibilities

To ensure timely delivery of your project, you agree to:

Provide all required brand assets (logo, colors, fonts, product images, website link) within 3 business days of purchase.
Respond to communication and revision requests in a timely manner. Delays caused by late client responses may extend the stated turnaround time.
Provide accurate and complete information about your brand, product, and project goals.
Ensure that any assets, images, or materials you provide are owned by you or properly licensed for commercial use. You are solely responsible for obtaining all necessary rights and permissions for materials you submit.

5. Deliverables and Revisions

Deliverables will be provided in MP4 format by default. Other formats (MOV, ProRes, platform-specific) are available upon request.
Revision rounds included in each package are defined at the time of purchase. Each revision round consists of one set of consolidated feedback. Requests submitted in multiple separate messages may count as additional revision rounds.
Additional revision rounds beyond what is included in your package are available at $150 per round.
Turnaround times begin on the date we receive your complete project brief and all required assets, not the date of purchase.
Rush delivery (under 3 business days) is subject to availability and must be confirmed before purchase.

6. Intellectual Property

Upon receipt of full payment, VibeFlow Digital AI grants you a non-exclusive, worldwide, perpetual license to use the delivered video content for commercial purposes related to your brand.
VibeFlow Digital AI retains the right to display completed work in our portfolio, on our website, and across our social media channels unless you request otherwise in writing prior to project completion.
All proprietary workflows, prompting techniques, production methods, and AI stack configurations used by VibeFlow Digital AI remain our exclusive intellectual property.
You represent and warrant that any assets, trademarks, or brand materials you provide do not infringe on any third-party intellectual property rights. You agree to indemnify VibeFlow Digital AI against any claims arising from your provided materials.

7. Use of AI Technology

Our services utilize advanced generative AI tools as part of our production workflow. By purchasing our services, you acknowledge and agree that:

Video content is produced using a combination of AI-generation tools and professional human editing and finishing.
AI-generated content is subject to the terms of service of the individual AI platforms used in production.
We make no guarantee that AI-generated content will be eligible for copyright registration, as laws governing AI-generated works continue to evolve.
We will not use your brand assets or project materials to train AI models or for any purpose outside of your project.

8. Prohibited Use

You agree not to use our Site or services to:

Produce content that is illegal, defamatory, harassing, discriminatory, or fraudulent
Infringe on the intellectual property rights of any third party
Impersonate any person, brand, or entity without authorization
Produce political advertising or content designed to deceive or mislead consumers
Violate any applicable local, state, federal, or international law or regulation

We reserve the right to refuse service to anyone at our sole discretion, including for violations of these Terms.

9. Disclaimer of Warranties

Our Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will meet your specific marketing or business objectives, that deliverables will achieve any particular level of engagement or conversion, or that the Site will be uninterrupted or error-free. Results from using our video content will vary depending on your marketing strategy, platform, audience, and other factors outside our control.

10. Limitation of Liability

To the fullest extent permitted by law, VibeFlow Digital AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including loss of revenue, loss of profits, or loss of business opportunity. Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amount you paid for the specific project giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless VibeFlow Digital AI, its owner, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida.

13. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the Effective Date at the top of this page. Continued use of the Site or our services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
